Relocation of the Headquarters of a Foreign Enterprise to Türkiye

Documents and registration (Trade Registry Regulation, Article 115)

(1) The following documents shall be submitted to the directorate to which the application is made:

1. A document, issued by the trade registry of the relevant country or, where there is no registry organization, by its competent authority, showing that the commercial enterprise whose headquarters is being relocated to Türkiye exists in accordance with the law of the foreign country, together with its Turkish translation.
2. A document obtained from the competent authority abroad stating that the change of headquarters complies with its own law, together with its Turkish translation.
3. If the registration of the enterprise relocating its headquarters is subject to permission, the permission letter obtained from the relevant institution.
4. New Registration Request Petition
5. Natural Person Registration Declaration
6. Specimen signature/signature declaration of the authorized person

   (If no signature record is held in the databases of public institutions and organisations or the record cannot be obtained, the signatures of the persons concerned are submitted to the directorate either by having them physically notarised or by making a written declaration at any Trade Registry Directorate.) 7. Tax Office Display Document (1 original, 1 photocopy)
8. Passport Translation (1 original, 1 photocopy)
9. Residence Permit (1 notarized original, 1 photocopy)
10. Photograph (2 copies)

Important Notes

• (2) The documents listed in subparagraphs (a) and (b) of the first paragraph, being documents issued in a foreign country under foreign law, must be certified by the Turkish consulate or in accordance with the provisions of the Convention Abolishing the Requirement of Legalisation for Foreign Public Documents, and submitted to the directorate together with their notarized Turkish translation.

• (3) For the registration of enterprises relocating their headquarters to Türkiye, the provisions on the registration of enterprises located in Türkiye shall apply. During this registration, the directorates are obliged to examine whether it is possible for the commercial enterprise whose headquarters is relocated to Türkiye to be organized and operate under Turkish law.
