General and Limited Partnership New Registration

GENERAL PARTNERSHIP

A general partnership is a company established among natural persons for the purpose of operating a commercial enterprise under a trade name, in which the liability of none of the partners toward the company's creditors is limited.

LIMITED PARTNERSHIP

A limited partnership is a company established to operate a commercial enterprise under a trade name, in which the liability of one or more partners towards the company's creditors is unlimited, while the liability of the other partner or partners is limited to a specified capital. Partners with unlimited liability are called general partners (komandite), and those with limited liability are called limited partners (komanditer). General partners must be natural persons. Legal entities can only be limited partners.

ESTABLISHMENT (Trade Registry Regulation, Article 64)

1. Articles of association with the founders' signatures certified by our Trade Registry Directorate or by a notary public

   (1 original, 1 photocopy)

2. Specimen signatures/signature declarations of those authorized to represent the company

   (If no signature record is held in the databases of public institutions and organisations or the record cannot be obtained, the signatures of the persons concerned are submitted to the directorate either by having them physically notarised or by making a written declaration at any Trade Registry Directorate.) (1 original)

3. In limited partnerships, where a limited partner has contributed capital in kind: a valuation report prepared by an expert appointed by the court to determine the value of the contributed assets
4. A letter obtained from the relevant registry stating that there is no restriction on the capital contributed in kind
5. A document showing that an annotation has been made in the registries where the immovable property, intellectual property rights and other assets contributed as capital in kind are recorded
6. New Registration Request Petition
7. Legal Entity Registration Declaration for registration with the Chamber
8. Two photographs each of all partners and of managers who are not partners
