New Cooperative Branch Registration

REQUIRED DOCUMENTS

1. Documents to be obtained from the registry directorate where the Cooperative Headquarters is registered;

   (Trade Registry Regulation, Article 120);

   • a) A certified copy of the cooperative's articles of association, together with any amendments, if applicable (Trade Registry Regulation, Article 120/c - 1 original set). Pursuant to letter no. 50035491-431.04-E-00055737950 dated 16.07.2020 of the General Directorate of Domestic Trade of the Ministry of Trade of the Republic of Türkiye, if the articles of association (together with their amendments) can be accessed through announcements published electronically in the Turkish Trade Registry Gazette, a certified copy of the cooperative's articles of association will not be requested.
2. New Registration Request Petition
3. Legal Entity Registration Declaration for registration with the Chamber
4. Two photographs of each branch manager(s)
5. Specimen signature/signature declaration of the branch manager(s)

   (If no signature record is held in the databases of public institutions and organisations or the record cannot be obtained, the signatures of the persons concerned are submitted to the directorate either by having them physically notarised or by making a written declaration at any Trade Registry Directorate.) (1 original)

6. Opening of a branch: if it is to be by General Assembly resolution under the cooperative's articles of association, a notarized General Assembly Resolution (1 original - 1 photocopy); if it is to be by Board of Directors resolution, the Board of Directors Resolution (1 original - 1 photocopy)

   (Regardless of which body adopts the branch opening resolution, the branch's trade name, capital, line of business, full address, representatives and manner of representation must be clearly stated.)

   NOTE-1:

   The resolutions must state the Republic of Türkiye identity numbers (for foreign nationals, the tax numbers obtained from tax offices).

   NOTE-2:

   If the branch manager(s) will be elected for a specific term, this term must be stated in the resolution.

   (Example: "To appoint …………………………..(Republic of Türkiye ID Number and Place of Residence to be stated) as branch manager for a term of three (3) years, with the authority to collect and receive payments, and to represent and bind the branch individually in all transactions and matters to be carried out for the branch.")
